纯海外基金成立啦！

We, the undersigned, being together the holders of all of the issued management shares of the above-named company (the Company) and at the date hereof the only persons entitled to attend and vote at general meetings of the Company, hereby pass the following resolution with the Articles of Association of the Company: 

我们作为签署人，和所有持有上述公司发行的管理股份的持有人，授权参加并在股东大会投票，现依据本公司章程作如下决议：

IT IS HEREBY RESOLVED:

特此决议：

THAT  the Initial Offering of Class A Participating Shares of YanQi HGNH Global Alpha Plus One Segregated Portfolio, a segregated portfolio of the Company, has been completed as of 31^st March 2016. The proceeds of subscription for the Shares will be invested on behalf of the Segregated Portfolio in investments as set out in the offering memorandum of the Company and the supplemental offering memorandum in respect of the Segregated Portfolio from 1^st April 2016 onwards

本公司下属的独立投资组合言起横华全球精选阿尔法1号基金已于2016年3月31日完成A级参与股首次发行的募集。根据发行备忘录和补充备忘录，这档基金将在4月1日开始进行投资交易。

The resolution  above shall take effect as a special resolution of the Company.

上述决议将作为公司决议生效。
